General
- By accessing or using this website and the Services, you agree to comply with and be bound by these Terms of Service (“Terms”).
- You are responsible for any use of the Services made through your account and must ensure that anyone acting on your behalf complies with these Terms.
- References to “One Prime”, “we”, “us” and “our” mean One Prime Limited and its relevant group affiliates. One Prime Limited is registered in the British Virgin Islands, company registration number 2205225, with its registered office at Vistra Corporate Services Centre, Wickhams Cay II, Road Town, Tortola, VG1110, British Virgin Islands.
- “Stable Chain” or the “Service” means the deposit-collection and stablecoin settlement infrastructure operated by One Prime Limited.
- References to “you” mean the person or business accessing or using the Services, including any principals, directors, officers, beneficial owners or staff acting on behalf of a business customer.

Service availability
- We offer the Service only in countries and territories we have individually approved.
- Approval is given separately for (a) the country in which a Merchant is located and (b) the country from which an End User makes payment.
- The approved combinations that apply to you are confirmed during onboarding and set out in your Merchant agreement.
- We may add or remove approved countries at our discretion. Where we remove one, we will give advance notice in accordance with your Merchant agreement.
- Regardless of approval, we do not provide the Service to any country or territory where doing so is prohibited by applicable sanctions, export controls or other law (see our AML / KYC Policy).
Registration for an account
- A Merchant must be a validly established business, and the individual registering must be at least 18 years of age and authorized to act for that business.
- You must not be resident in, or operate from, a country or territory we have not approved (see Service availability above).
- You must register according to the instructions provided during onboarding and, as part of that process, agree to these Terms and our Privacy Policy.
- You must provide accurate, current and complete information and keep it up to date.
- If you do not provide required information, or fail to cooperate with identity and verification checks, we may suspend or close your account.
Eligibility and account use
- You must provide correct and current information to open and maintain an account, and complete all required identity, security and verification checks (see our AML / KYC Policy).
- You must not arrange a deposit from, or a settlement to, a payment instrument or bank account of which you (or, for End Users, the named End User) are not the account holder. We treat violations of this requirement as potentially fraudulent.
- We may decline or reverse any transaction, at our discretion, where we reasonably believe it is fraudulent, breaches these Terms or applicable law, or where required information is missing.
- If funds are received into an account that were not intended for that recipient, we are entitled to recover and return those funds.
- You are responsible for ensuring that settlement details (such as the destination wallet address) are correct and complete. We are not liable for funds delivered to a wrong destination as a result of incorrect details you provided.
Account security
- You must keep your account credentials and any security features confidential and take reasonable steps to protect them. Our personnel will never ask you to disclose your password.
- If you suspect that your account or its security features have been compromised, lost, stolen or misused, you must change your credentials immediately and notify us without undue delay.
Fees
- We charge the fees set out in your agreement and/or on our website for each transaction. You authorize us to deduct applicable fees at the time of a transaction.
- We may revise our fees. Where we do, we will give the Merchant advance notice.
- The notice period, the method of notice and the date a revision takes effect are those set out in your Merchant agreement.
- Where applicable law requires a longer notice period or imposes other requirements, those requirements prevail.
Paying-in (Collection) Service
- When a Merchant uses the Paying-in Service to collect a receivable from an End User, it must notify the End User of the Dedicated Account to which payment should be made, and make clear that the Dedicated Account is held by One Prime acting as the Merchant’s collection agent.
- Limits may apply to amounts paid into a Dedicated Account where required for operational, compliance or partner reasons.
- Following receipt and verification of an End User’s bank transfer, One Prime converts the amount into the agreed stablecoin and delivers Settlement to the Merchant’s designated wallet, on the terms and timing set out in the Merchant agreement. The Merchant bears the costs of Settlement unless otherwise agreed.
- Where the remitter’s name does not match the registered End User (for example, a transfer made by a family member), the payment may be placed on hold and processed manually, approved or rejected in accordance with our operational rules.
Settlement and withdrawal of funds
- Settlement is performed to the Merchant’s designated wallet address after the corresponding deposit has been received and verified.
- We may require completion of compliance checks before authorizing settlement or any return of funds.
- Reversal or recall of a completed bank transfer is not guaranteed; any charges arising from an attempted reversal may be passed on.
Stablecoin conversion
- Conversion between fiat and the supported stablecoin is performed at the rate and on the terms set out in the Merchant agreement.
- We may suspend conversion during periods of severe market disruption, suspected abuse, or where a rate source or system used to perform conversion is unavailable or unreliable.
Prohibited use and material breaches
You must not:
- represent the Dedicated Account to any third party as an account used to collect receivables of any person other than the Merchant, or for transactions other than those covered by the Service;
- disclose Dedicated Account information to unspecified third parties;
- use the Service or a Dedicated Account for money laundering, terrorist financing, sanctions evasion, or any other criminal or unlawful activity;
- use the Service in breach of any applicable law or regulation, including operating without required licenses or approvals, or engaging in fraud or coercion against any third party; or
- provide false information to us intentionally.
Suspension and closing your account
- We may restrict access to the Service, including deposits, settlements and conversions, where we reasonably believe usage breaches these Terms or applicable law.
- On account closure, any remaining balance will be settled or returned in accordance with your agreement, after deduction of applicable fees and completion of any required compliance investigation into money laundering, terrorist financing, fraud or other illegal activity.
- Once a closure request is made, certain account functions may become unavailable.
Liability
- The Service is provided on the terms set out here and in your agreement. To the extent permitted by law, we exclude liability for indirect or consequential loss.
Governing law
- These Terms are governed by the laws of the British Virgin Islands, being our jurisdiction of incorporation.
- This does not affect mandatory consumer protections that apply where an End User is located. Where the law of an End User’s country gives them rights that cannot be excluded by agreement, those rights continue to apply.
Changes to these Terms
- We may update these Terms from time to time. Material changes will be communicated in accordance with applicable law and your agreement, and the “Last updated” date above will be revised.
